This License Agreement (“Agreement”) is entered into between Smartech (“Licensor”) and the user (“Licensee”) for the use of Smartech’s  products for IBM Maximo. By accessing or using the products, Licensee agrees to comply with the terms and conditions outlined in this Agreement.

1. Grant of License: Licensor grants Licensee a non-exclusive, non-transferable license to use the products provided by Smartech for integration with IBM Maximo.

2. Permitted Use: Licensee is permitted to use the products solely for internal business purposes and in accordance with the documentation provided by Smartech.

3. Restrictions: Licensee shall not:

• Modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the products.
• Remove or alter any copyright, trademark, or other proprietary rights notices from the  products.
• Distribute, sublicense, lease, rent, or otherwise transfer the products to any third party.

4. Ownership: Licensor retains all ownership rights, title, and interest in and to the products, including all intellectual property rights.

5. Support and Maintenance: Licensor may provide support and maintenance services for the products subject to separate agreements or fees.

6. Term and Termination: This Agreement shall commence on the date of acceptance and shall remain in effect until terminated by either party. Licensor reserves the right to terminate this Agreement immediately upon breach of any term by Licensee.

7. Warranty and Disclaimer: The products are provided “as is” without warranty of any kind, either expressed or implied. Licensor disclaims all warranties, including but not limited to, the implied warranties of merchantability and fitness for a particular purpose.

8. Limitation of Liability: Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the products, even if advised of the possibility of such damages.

9. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.

10. Entire Agreement: This Agreement constitutes the entire understanding between Licensor and Licensee with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements and understandings.

By accepting this Agreement, Licensee acknowledges that they have read, understood, and agree to be bound by its terms and conditions.
